Aspire Health Portal Terms of Use
Operated by Aspira Health Global, Inc.
Last updated: October 22, 2026 | Effective date: October 22, 2026 for new users, and 30 days after October 22, 2026 for users who accepted an earlier version
Please read these Terms carefully. They include a binding arbitration agreement and a class action waiver in Section 20 that affect how disputes are resolved. You may opt out of arbitration as described in Section 20.
1. About These Terms
These Terms of Use ("Terms") govern your access to and use of the Aspire Health Portal web and desktop applications, websites, and related services (together, the "Service"). The Service is operated by Aspira Health Global, Inc., a California corporation ("Aspira Health Global," "we," "us," or "our").
By creating an account, accepting an invitation, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
If you use the Service through an organization (for example a clinic, hospital, provider group, school, refugee program, or community organization), that organization has also agreed to our Organization Agreement and, where applicable, a Business Associate Agreement. If these Terms conflict with an organization's signed agreement with us about that organization's data, the organization's agreement controls for that data.
2. What the Service Is and Is Not
The Service provides measurement-based wellness tracking, self-management assessments and check-ins, care-coordination tools for organizations and care teams, a library of general self-management resources ("Toolkits"), and an optional AI assistant ("Aspire Navigator").
The Service is not a medical device and does not provide medical advice, diagnosis, or treatment. It is not a substitute for professional medical or mental health care. Assessment scores and Aspire Navigator responses are informational only. Always seek the advice of a qualified health professional about any health question.
The Service is not monitored for emergencies. Messages, check-ins, assessment answers, and notes may not be reviewed for hours or days. If you or someone else may be in danger or experiencing a crisis, do not rely on the Service. Contact local emergency services immediately. In the United States, call or text 988 to reach the 988 Suicide & Crisis Lifeline. Outside the United States, contact your local emergency number or crisis line.
If your answers suggest you may need urgent support, the Service may send an alert to the crisis contacts and care team members chosen by you or your organization. An alert is not an emergency response, and no one may see it right away.
3. Changes to the Service
We may modify, add, suspend, or discontinue features as the Service evolves. The Service may contain errors or be temporarily unavailable, including for maintenance, security, or circumstances beyond our reasonable control. We will provide at least 30 days’ notice before permanently removing a material paid feature, unless an urgent security, legal, or operational reason requires earlier action. Section 6.2 explains when a refund may be available.
4. Eligibility and Minors
4.1 Adults
You must be at least 18 years old, or the age of majority where you live if that is higher, to create an Individual account or to serve as an Organization Admin, Billing Admin, Care Team member, or Program Sponsor.
4.2 Minors
A person under 18 may use the Service only in one of these ways:
- Through a parent or legal guardian. A parent or legal guardian creates and controls the account, agrees to these Terms on the minor's behalf, and is responsible for the minor's use.
- Through an approved organization. An approved organization, such as a school or youth program, may enroll a minor only when the organization and Aspira Health Global have provided any required notices and obtained any required parent, guardian, school, or other legally valid authorization. An organization may authorize use for a child only to the extent permitted by applicable law and its agreement with us.
Minors may not create accounts independently unless applicable law permits them to consent and we expressly enable that option. If we learn that a minor used the Service without the authorization required by applicable law, we may suspend or delete the account and associated information, subject to legal retention requirements and any applicable organization agreement.
5. Account Types and Roles
The Service offers the following account types and roles. Your role determines what you can see and do.
| Account type or role | Description |
|---|---|
| Individual account | For personal or family use. Available as a free version or a paid subscription plan. |
| Organization Account | An account for a clinic, hospital, provider group, school, refugee program, community organization, or similar entity. Organization Accounts require approval by Aspira Health Global and are governed by the Organization Agreement. |
| Organization Admin | A person designated by an organization to manage its users, care teams, settings, and data. |
| Billing Admin | A person designated by an organization to manage its subscription, payment methods, and invoices. |
| Care Team member | A person who supports participants, patients, or students within an organization, through default or shared care teams set by the organization. |
| Program Sponsor | A person or entity that funds or oversees a program. Access is limited by role-based permissions and the applicable organization agreement; reports may include aggregate or individual information only when authorized by the organization and applicable law. |
| Participant | A person whose wellness information is recorded in the Service by an organization, such as a patient, student, or program member. A Participant may or may not have their own login. |
You are responsible for keeping your login credentials confidential, using reasonable security precautions, and promptly updating your account information. Notify us immediately at info@aspirahealth.global or through in-portal messaging if you believe your account or credentials have been used without permission. You may not share credentials except through a feature expressly designed for authorized access.
6. Individual Subscriptions and Payments
6.1 Plans and billing
Individual accounts may use a free version or choose a paid subscription plan. Plan features, prices, and limits are shown in the Service at the time of purchase.
- Payment processing. Payments are processed by Stripe or another payment processor identified at checkout. We do not store your full payment-card number. The processor’s terms and privacy notice apply to the payment information you provide directly to it.
- Automatic renewal. Unless stated otherwise at checkout, paid plans automatically renew at the end of each billing period at the then-current price until canceled. Before purchase, we will clearly disclose the price, billing period, renewal terms, and cancellation method and obtain any consent required by law. We will provide a confirmation containing the material terms and cancellation instructions.
- Cancellation. You may cancel online at any time through account settings or another method that is at least as easy as the method used to subscribe. Unless applicable law or the offer states otherwise, cancellation takes effect at the end of the current billing period, and you retain paid features until then.
- Price changes. We will provide advance notice of a price increase as required by law and, in any event, at least 30 days before it applies to your next renewal. You may cancel before the new price takes effect.
- Taxes. Prices do not include taxes unless stated. You are responsible for applicable taxes.
6.2 Refund Policy
- Partial months. There are no refunds for partial billing periods. When you cancel, you keep paid features until the end of the period you paid for.
- First-time subscribers. If you are subscribing to a paid plan for the first time, you may request a full refund within 7 days of your first charge.
- Always refunded. Duplicate charges, charges made after a confirmed cancellation, and billing errors by Aspira Health Global are refunded in full.
- If we end your service or remove a paid feature. If we end your service without cause, or permanently remove a paid feature that was a main reason for your plan, we refund the unused portion of your prepaid fees.
- No refund for violations. No refund is given when an account is ended for violating these Terms.
- Where the law requires more. If the law where you live gives you stronger refund or cancellation rights, we follow that law.
- How to request a refund. Email info@aspirahealth.global or message us in the portal within 30 days after the charge. Approved refunds are returned to the original payment method through our payment processor, usually within 10 business days, although processing times may vary.
7. Organization Use
Organization Accounts, including trials, paid plans, and access provided to mission partners, are governed by the applicable Organization Agreement. If you are an Organization Admin, Billing Admin, Care Team member, or Program Sponsor, you must also comply with your organization’s policies, instructions, and agreement with us. If these Terms conflict with the Organization Agreement regarding organization-controlled use or data, the Organization Agreement controls.
8. Responsibilities When Recording Information About Others
If you record information about another person, assign resources to that person, or write notes about that person, you must have the consent or other legal authority required to do so, take reasonable steps to ensure the information is accurate, and use it only for authorized purposes. If you act for an organization, you must also follow the organization’s policies and legal obligations.
9. Aspire Navigator
Aspire Navigator is an optional assistant, available to all users, that helps you find features, resources, and information in the Service. It is designed for navigation help only. It may use artificial-intelligence models and related services provided by Anthropic or other subprocessors identified in our Privacy Policy or applicable organization documentation.
- Aspire Navigator responses are generated automatically and may be incomplete, outdated, biased, or incorrect. Unless expressly stated otherwise, responses are not reviewed by a clinician or other professional before you receive them.
- Aspire Navigator does not provide medical advice, diagnosis, or treatment, and it cannot respond to emergencies.
- What you type into Aspire Navigator, and limited information needed to guide you within the Service, may be processed by our AI service providers solely to generate, secure, and support the requested response, as described in our Privacy Policy.
- Do not enter your own or another person’s health information, assessment answers, or clinical details into Aspire Navigator.
Aspire Navigator will not be enabled to process protected health information for a HIPAA-covered organization unless the required Business Associate Agreements and safeguards are in place and the organization has authorized its use.
10. Your Content
You retain ownership of the notes, assessment responses, check-ins, saved resources, messages, and other content you submit ("Your Content"). You grant Aspira Health Global a worldwide, nonexclusive, royalty-free license to host, store, copy, transmit, process, display, and otherwise use Your Content only as reasonably necessary to provide, secure, maintain, support, and improve the Service; comply with law; and exercise our rights under these Terms, in each case as described in our Privacy Policy and applicable organization agreements. We do not sell Your Content as the term "sell" is defined under applicable privacy law.
Where an organization enters or controls content about a Participant, that content belongs to and is controlled by the organization as described in the Organization Agreement, subject to the Participant's rights under applicable law.
If you send us suggestions or feedback, we may use them without obligation to you.
11. Acceptable Use
You agree not to:
- use the Service for any unlawful purpose or to store or transmit unlawful, harassing, or infringing content;
- access, or try to access, any account or data you are not authorized to access;
- share your login, or create accounts using false information;
- copy, scrape, crawl, reverse engineer, decompile, disassemble, or interfere with the Service or its security, including by bypassing usage limits or access controls, except to the extent such a restriction is prohibited by law;
- upload malicious code, probe for vulnerabilities without authorization, or disrupt or overload the Service;
- resell, sublicense, rent, or provide the Service to anyone else, or use the Service to run another business or service for third parties, unless we agree in writing;
- use the Service, Aspire Navigator, or our content to build a competing product or to train an artificial intelligence model;
- rely on the Service for any diagnostic, emergency, or life-safety purpose.
12. Toolkits, Assessments, and Third-Party Content
Toolkits and other resources provide general information only. The Service may link to or interoperate with third-party websites, videos, documents, or services that we do not control. We are not responsible for third-party content, availability, security, or practices, and your use of those services may be governed by separate terms. Some assessment instruments are owned by third parties and used under license; you may not copy or redistribute them outside the Service except as permitted by the applicable license or law.
13. Our Intellectual Property
The Service, including its software, design, Toolkits, and content we create, is owned by Aspira Health Global or its licensors and is protected by intellectual-property and other laws. Subject to these Terms, we grant you a limited, revocable, nonexclusive, nontransferable, nonsublicensable right to access and use the Service for its intended purposes. No rights are granted by implication. "Aspire Health Portal" and "Aspira Health Global" are our names and marks and may not be used without our prior written permission.
14. Privacy and Health Data
Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information and describes available privacy rights. Where required, we obtain separate consent or another valid legal basis to process health information. If you use the Service through a HIPAA-covered healthcare organization, that organization’s Notice of Privacy Practices may also apply. The Service is not itself a substitute for any notice, authorization, or consent required from an organization or professional.
15. Suspension and Termination
You may stop using the Service at any time and may request deletion of your account at info@aspirahealth.global or through in-portal messaging. We may suspend or terminate access if you violate these Terms, if required by law, to prevent harm or security risk, for prolonged inactivity under a disclosed policy, or if the applicable organization account ends. Where reasonable and lawful, we will provide notice and an opportunity to address the issue. Before deleting an account, you should export any information you wish to retain using available Service features. Sections that by their nature should survive termination will survive, including Sections 10, 13, and 16 through 22.
Deletion of information held for an organization follows the Organization Agreement and, where applicable, the Business Associate Agreement.
16. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NONINFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE, AI NAVIGATOR, OR THIRD-PARTY CONTENT WILL BE ACCURATE, COMPLETE, SECURE, UNINTERRUPTED, OR ERROR-FREE. Some jurisdictions do not allow certain disclaimers, so some of these disclaimers may not apply to you, and you may have additional rights.
17. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ASPIRA HEALTH GLOBAL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) USD 100. These limits do not apply to liability that cannot lawfully be limited, including liability for fraud, gross negligence, or death or personal injury caused by negligence where applicable law prohibits a limitation.
18. Indemnification
By you. To the extent permitted by law, you agree to defend, indemnify, and hold harmless Aspira Health Global and its officers, directors, employees, and agents from third-party claims, damages, losses, and reasonable costs arising from your material violation of these Terms or applicable law, or from content you submit about another person without the required consent or authority. This obligation does not apply to the extent a claim results from our own breach, negligence, or willful misconduct.
By us. We will defend and indemnify you against a third-party claim that your authorized use of the Service directly infringes that third party’s intellectual-property rights, except to the extent the claim arises from Your Content, third-party materials, your modification or combination of the Service, use after notice to stop, or your violation of these Terms. The indemnified party must promptly notify the other party, provide reasonable cooperation, and allow the indemnifying party to control the defense and settlement, provided that no settlement may admit fault or impose a nonmonetary obligation on the indemnified party without consent.
19. Governing Law
These Terms are governed by the laws of the State of California and applicable U.S. federal law, without regard to conflict-of-law principles. This choice of law does not deprive you of protections that cannot be waived under the consumer, privacy, or other mandatory laws of your place of residence. Organization Accounts are governed by the choice-of-law provision in the applicable Organization Agreement.
20. Dispute Resolution and Arbitration
20.1 Informal resolution first
Before starting arbitration or a court action, you and we agree to make a good-faith effort to resolve the dispute informally for at least 60 days. A notice must describe the dispute, the relevant account, and the relief requested. Send notice to info@aspirahealth.global. We will send our notice to the email or mailing address associated with your account.
20.2 Binding individual arbitration
If a dispute is not resolved informally, you and Aspira Health Global agree that it will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement. The arbitrator may award the same individual relief a court could. Fees will be allocated under the AAA rules and applicable law, and we will pay any amounts the rules or law require us to pay. Arbitration may occur by video, in San Diego County, California, or in your county of residence if you request it.
20.3 Exceptions
Either party may bring an eligible individual claim in small claims court. Either party may also seek temporary or preliminary injunctive relief in court to protect intellectual property, confidential information, or the security and integrity of the Service, and a consumer may seek public injunctive relief in court where applicable law permits.
20.4 Class action waiver
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND WE AGREE TO BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. If this waiver is found unenforceable for a particular claim or remedy, that claim or remedy will proceed in court after all arbitrable claims are completed.
20.5 Right to opt out
You may opt out of this arbitration agreement by emailing info@aspirahealth.global within 30 days after you first accept these Terms. Your notice must include your name, account email, and a clear statement that you are opting out of arbitration. Opting out will not affect any other provision of these Terms.
20.6 Users outside the United States and minors
This Section 20 applies only to users in the United States who are at least 18 years old, except to the extent a parent or legal guardian validly agrees on their own behalf. If you live outside the United States, or if applicable law does not permit a dispute to be arbitrated, your dispute may be brought in a court with jurisdiction under applicable law, and your nonwaivable consumer rights remain unchanged.
21. Changes to These Terms
We may update these Terms from time to time. For material changes, we will provide notice in the Service, by email, or through another legally permitted method at least 30 days before the changes take effect, unless an earlier change is required for legal, security, or urgent operational reasons. We will obtain affirmative consent when required by law. If you continue using the Service after the effective date, you accept the updated Terms. If you do not agree, you must stop using the Service and cancel any subscription before the changes take effect.
22. General
These Terms, the Privacy Policy, and any plan or supplemental terms presented at purchase or feature activation are the entire agreement between you and us regarding the Service, except where an organization has a separate signed agreement. If a provision is found unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign or transfer these Terms without our prior written consent; we may assign them in connection with a merger, reorganization, financing, acquisition, sale of assets, or by operation of law. We are not liable for delay or failure caused by events beyond our reasonable control. You must comply with applicable export-control and sanctions laws. Notices may be delivered electronically to the contact information associated with your account. We may provide translations for convenience; if a translation conflicts with the English version, the English version controls to the extent permitted by law.
